Reporting to the Vice-President, Legal Affairs, Derivatives, the incumbent acts as legal counsel in respect of all legal and regulatory matters relating to the Bourse de Montréal Inc. (Bourse) and its subsidiaries.

Key Accountabilities:

1. Providing legal advice to the Bourse, and upon request, to it’s wholly or partially-owned subsidiaries including the Canadian Derivatives Clearing Corporation on various regulatory and corporate/commercial matters.

2. Providing legal advice on development of new financial products and services to be offered by the Bourse and its subsidiaries, including drafting of related Rules and Policies in close cooperation with financial managers, ensuring compliance with the requirements of the Derivatives Act (Quebec), and liaising with AMF and other Canadian and U.S. regulators to ensure successful launch of new products and services.

3. Significant interaction with financial managers in development of new financial products and services and formulation of applicable business/financial analyses.

4. Attending to filings with the AMF the OSC and the Bank of Canada and other foreign or international regulators, as applicable.

5. Liaising with U.S. counsel to ensure that the Bourse and its subsidiaries are in compliance with CFTC and SEC rules/regulations and state Blue Sky laws, including overseeing recurring filings.

6. Providing legal advice to the Bourse and its subsidiaries in connection with M&A activity, new joint ventures and development of new business areas, both in Canada and internationally, including management of transactions and drafting and negotiation of related documents.

7. Overseeing preparation of materials for board and sub-committee meetings of the Bourse and its subsidiaries.

8. Providing legal support to other TMX Group companies requiring assistance in connection with Quebec legal issues or matters relating to derivative products.

9. Conducting research in respect of Canadian and international regulatory requirements and market standards which are relevant to the Bourse and its subsidiaries and staying informed of new developments.

10. Attending to various corporate/commercial matters, such as review and negotiation of contracts and overseeing intellectual property matters.

Must Have Skills:

TRAINING/EDUCATION:

• University law degree.
• Member of the Quebec Bar.
• Strong background in securities law and significant experience in dealing with securities and other regulators.
• Significant experience in drafting and negotiating transaction documents.
• Experience with derivatives or structured finance will be regarded as an asset.
• Experience on cross-border matters and transactions will be regarded as an asset.
• Good knowledge of the law relating to collateral will be regarded as an asset.
• Experience in a leading law firm or a financial institution will be regarded as an asset.

EXPERIENCE:

• Five (5) to ten (10) years’ experience as a securities/capital markets lawyer.
